On 2-22-2004, Director Richard Gradwhol emails the Officers and BOD of ADCA that he has received a threatening email. I was never sent a copy of this email.
Before noon on 2-23-2004 Director John Potter sends the following email to ADCA officers and BOD.

Subject: By-laws
Dear Fellow Board Members,
There are several housekeeping issues which I believe the Board should
address for the sake of continuity and the provision of essential services
to the ADCA membership. I do not presume to speak for the Board, but I
do ask that the Board assume its proper role and fulfill its legal authority
according to the By-laws of the ADCA. I respectully submit that the
actions listed below should be taken immediately. I propose:
1. that Patrick Mitchell, as the Immediate Past President, be recognized
and seated as a voting member of the Board of Directors; (This action
will partially rectify the error that was made in the unauthorized hiring of
an attorney by Rosemary Fleharty. This acton also will duly acknowledge
the entire history and precedent of the ADCA in which the position of
immediate past president consistently has been defined as the person
who served in the position of president before the current president.)
2. that the ADCA employment of Dean Fleharty be terminated effective
immediately;
3. that Sandi Thomas of Oregon be appointed Acting Secretary of the
ADCA; (The By-laws do not preclude having a Board member serve as
Secretary of the ASsociation. Sandi's knowledge of Dexter cattle, ADCA
history and procedures, and her dedicaton to our breed and breeders
make her an ideal person to serve the Board and membership as
Secretary. )
4. that Jim Smith of Missouri be appointed Acting Treasurer of the
ADCA; (Jim is a Certified Public Accountant as well as a Dexter breeder,
and his knowledge and understanding of finances will be a great asset to
the Association.)
5. that Anthony Bauer of Illinois be appointed Acting Registrar of the
ADCA; (Anthony's computer knowledge and skills, his interest in and
familiarity with our registry, his knowledge of cattle in general and
Dexters in particular, and his respect for rules and authority qualify him to
serve in this critically-important position.)
6. that Rosemary Fleharty immediately turn over all property and records
of the ADCA to John Foley to distribute to the appropriate person as
named above; (It is clearly in the best interests of the members of our
Association to have the smoothest, fastest, and most efficient transition
in the provision of services. This transition must occur with the least
possible interruption of services.)
The By-Laws charge us, as Board members, with the responsibility of
managing the affairs of the Corporation and empower us to act for the
Corporation. I believe that we must fulfill our responsibility according to
our By-Laws to the best of our ability. In doing so we will be protecting
and preserving our breed and serving our members in the manner which
they deserve.
